If you are a “U.S. Person”, you must be an “accredited investor” within the meaning of Rule 501(a) of Regulation D under the Securities Act of 1933, as amended (the “Securities Act”)
If you are NOT a “U.S Person” as such term is defined in Rule 901 of Regulation S, you can participate in this offering IF:
- You are not purchasing Treasure Experience Tokens for the account or on behalf of any U.S. Person.
- You have not received any offer or sale of Treasure Experience Tokens in the United States.
- You understand that you cannot resell the Treasure Experience tokens in the United States or to a U.S. Person unless an exemption from the Securities Act covers the transaction or the Company has filed a registration statement with the Securities and Exchange Commission for the transaction.
- You are not a “distributor,” which Regulation S defines as an underwriter, dealer, or another person who participates, pursuant to a contractual relationship, in the distribution of the Treasure Experience Tokens.
If you are an existing INX.One accredited investor, we may be required to reverify your accreditation status if your current documents have expired or are incomplete. This would not apply if your accreditation status was verified using your tax returns, W2s or 1099s as they would be good until 4/15 of the following year or in the case of W2s and 1099s, until 12/31 of the current year.
The offering is available only for residents of the countries where the INX.One trading platform is available and where there are no Treasure Experience country restrictions such as BVI.
